MSCA Board Updates Due to COVID and Bylaws

MSCA Members – The MSCA Board has appreciated the opportunity to serve our community. The pandemic has been an unprecedented period which led to a time of passiveness in the MSCA. This created an environment where there was a complete turnover of the board and the current nine (9) board members all begin their term in  Jan 2022.  We now find ourselves in a situation where we are  unable to follow the outdated, although current, bylaws in order to meet both the rotating board and the board term requirements. 

In an effort to get back into compliance we recommend the following. If anyone has any questions please feel free to see us at the upcoming fall meeting on 17 November to discuss.

  1. Five (5) of the current nine (9) board members will serve their two (2) year term until Jan 2024.

  2. Four (4) of the current nine (9) board members will serve a one (1) year term until Jan 2023 or until new board members have been confirmed.

  3. We will fill the current 10th vacancy utilizing procedures allowed in bylaws making a ten (10) member board with this person serving a two (2) year term beginning early 2023.

  4. To execute the intent of the bylaws for a rotating board, the board will utilize a nominating committee to nominate at least eight (8) individuals for consideration to serve on the board for a two (2) year term from 2023 – 2025.

  5. If we are unable to find eight (8) new volunteers to run, then we will look to our current board if any of the four (4) individuals identified to roll off in Jan 2023 would be willing to consider to stay on with serving a total of three (3) years.

  6. We will present candidates to membership at the beginning of 2023 for a vote.

Moving forward, the board’s recommendation is that the current MSCA Bylaws must be updated/amended as this has not been formally executed in several years; presumably decades or even since the organization’s founding. Prior to enactment of any bylaw amendments, the Board would provide a notice of proposed bylaws amendment via multiple mediums, would provide a review and comment period and would vote on updated bylaws at a membership meeting.
